Terms of Service

Welcome to Sleep44. These Terms of Service ("Terms") govern your access to and use of the Sleep44 service ("Service"), which connects to your Google Nest thermostat to run the overnight temperature plan you configure.

By accessing or using Sleep44, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

Sleep44 integrates with compatible Google Nest thermostats to gradually lower a cooling target overnight, then take the morning action you select. The Service requires:

A compatible thermostat supported by Google Device Access
A Google account with access to your Nest device
Authorization to allow Sleep44 to access and control your thermostat settings

2. Account Registration

To use Sleep44, you must:

Provide accurate and complete information during registration
Maintain the security of your account credentials
Promptly notify us of any unauthorized use of your account
Be at least 18 years old or have parental consent

You are responsible for all activities that occur under your account.

3. Google Account Authorization

By connecting your Google account to Sleep44, you:

Authorize Sleep44 to access your Nest thermostat data and settings
Authorize Sleep44 to adjust your thermostat temperature on your behalf according to your configured alarm schedule
Acknowledge that you have authority to grant this access for the thermostat(s) in your home

You may revoke Sleep44's access at any time through your Google Account settings.

4. Subscription and Billing

New paid accounts receive a seven-day free trial and then renew automatically at $9.99 USD per month until canceled. A valid payment method is required to start the trial. You can cancel before the trial ends to avoid the first charge or cancel a paid subscription before its next renewal through the billing portal in the app.

Cancellation stops future renewal and normally takes effect at the end of the current billing period. Except where required by law, charges already paid are non-refundable. We may change pricing with advance notice, and any change will apply no earlier than your next renewal after that notice.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or servers
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service in a way that could damage or overload our infrastructure
Share your account credentials with others
Use the Service to control thermostats in properties you do not own or have authorization to manage

6. Service Availability

We strive to maintain reliable service, but we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to:

Scheduled maintenance
Unscheduled outages
Issues with Google's APIs or Nest services
Internet connectivity problems
Force majeure events

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Sleep44 and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

"Nest" and "Google" are trademarks of Google LLC. Sleep44 is not affiliated with, endorsed by, or sponsored by Google LLC.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will meet your specific requirements
The Service will be uninterrupted, timely, secure, or error-free
The temperature adjustments will always occur as scheduled
The Service will improve your sleep quality or wake experience
Any errors in the Service will be corrected

You acknowledge that thermostat control depends on multiple factors outside our control, including your home's HVAC system, internet connectivity, and Google's services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SLEEP44, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, data, or goodwill
Service interruption
Computer damage or system failure
Discomfort, sleep disruption, or personal injury
Property damage, including damage to HVAC systems
Increased energy costs
Any other damages arising from your use of or inability to use the Service

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sleep44 and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

Your access to or use of the Service
Your violation of these Terms
Your violation of any third-party rights, including Google's terms of service
Any damage to property or persons resulting from your use of the Service

11. Third-Party Services

The Service integrates with third-party services, including Google's Nest APIs and Stripe for subscription billing. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third parties.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by:

Revoking Sleep44's access through your Google Account settings

Deleting your Sleep44 account or revoking Google access does not by itself cancel an active Stripe subscription. Cancel the subscription through the app's billing portal or contact us. Upon termination, your right to use the Service will immediately cease. Sections 7-10, 13, and 14 shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree to waive any right to a jury trial or to participate in a class action lawsuit against Sleep44.

14. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Sleep44 regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. For material changes, we will provide additional notice (such as an email notification).

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
